General Terms and Conditions of Sale (GTCS)

Article 1 - Legal Notice
The Dictadoc software is published and marketed by the sole proprietorship Thibaud GIOVANNETTI (hereinafter "the Publisher").

Article 2 - Object and Scope of Application
These General Terms and Conditions of Sale (GTCS) govern the sale of the user license for the "Dictadoc" software (hereinafter "the Software") by the Publisher to any healthcare professional or company (hereinafter "the Client").
Professional Use: The Client declares that they are acting for professional purposes. As such, the provisions of the Consumer Code are not automatically applicable to these transactions. The purchase implies unreserved acceptance of these GTCS.
Article 3 - Description of Service
Dictadoc is a desktop application (Windows and MacOS) enabling audio-to-text transcription via artificial intelligence in local mode (offline).
Technical Prerequisites: The Client is informed that the proper functioning of the Software depends on the power of their computer hardware (recent processor or Apple Silicon chip recommended). The Publisher cannot be held liable for processing delays due to obsolete or insufficient hardware.
Article 4 - Order and Payment Process
The Software is available for free download. Access to all features requires the purchase of a paid license.
The Client makes the payment directly from the Software interface or via the link provided by it, using a secure payment platform (e.g., Stripe). Payment is due immediately to unlock the license.
Prices are indicated in Euros (€). The Publisher reserves the right to modify its prices at any time, but the license will be invoiced based on the rate in force at the time of order validation.
Article 5 - Delivery of the License Key
As the Software is already installed on the Client's workstation, "Delivery" refers to the provision of a License Key (or activation key).
Once the payment is validated, the License Key is transmitted immediately by email to the address provided by the Client. The Client must enter this key into the Software to activate their usage rights.
Article 6 - Duration and Renewal of the License
The license is granted for a fixed term of one (1) year from the date of activation.
No automatic renewal: The contract does not renew automatically. Upon expiration of the one-year period, the license deactivates automatically. If the Client wishes to continue using the Software, they must manually proceed with a new purchase via the Software interface to obtain a new key.
Article 7 - No Right of Withdrawal
In accordance with Article L221-28 of the Consumer Code and given the digital nature of the product (activation key provided instantly), the right of withdrawal cannot be exercised once the key has been delivered.
By validating their order, the Client expressly waives any request for a refund.
Article 8 - Technical Support
The Publisher provides technical support by email only.
This support is provided within the framework of an obligation of means and not of result. The Publisher will endeavor to respond to requests but does not guarantee any specific intervention or resolution time. Support is limited to assistance with the installation and standard use of the Software, and excludes any intervention on the Client's computer hardware.
Article 9 - Liability and Limitation
9.1. Medical Liability: Dictadoc is a drafting aid tool. The Publisher does not guarantee the absence of transcription errors. The Client (doctor/practitioner) remains solely responsible for proofreading, validating, and the final content of the medical documents produced. The Publisher disclaims all liability regarding the consequences of a transcription error in a patient file.
9.2. Data Loss: As the Software operates exclusively locally (offline), no data is backed up by the Publisher. The Client is solely responsible for backing up their own data and securing their computer. The Publisher cannot be held liable in the event of loss of data stored locally on the Client's machine.
9.3. Liability Cap: In all cases, the Publisher's liability, should it be incurred, is strictly limited to the amount of the price paid by the Client for the current annual license.
Article 10 - Intellectual Property
The purchase of a license grants the Client a non-exclusive, personal, and non-transferable right to use the Software for the subscribed duration. The Publisher retains all intellectual property rights to the Software, its source code, and its algorithms. Any reverse engineering, decompilation, or redistribution is strictly prohibited.
Article 11 - Personal Data
Local Processing: The Publisher has no access to any health data or audio recordings processed by the Software; these remain confined to the Client's computer.
Billing Data: The only data collected by the Publisher is that necessary for billing, generating the license key, and administrative communication (Name, Email). This data is never resold to third parties.
Important: Banking information (card number) is processed directly by our secure payment provider (Stripe). The Publisher does not keep any complete banking data.
Article 12 - Applicable Law and Jurisdiction
These GTCS are subject to French law. In the event of a dispute, and failing an amicable agreement, exclusive jurisdiction is assigned to the competent courts within the jurisdiction of the Publisher's registered office (Tribunal de Lorient, France), notwithstanding plurality of defendants or third-party claims.
